This paper is based on the hypothesis that the institute of dissolution of a company at the discretion of a court causes numerous dilemmas in its application. In some situations, they are the result of a misunderstanding of the purpose of establishing this legal transplant in Serbian company law. Consequently, its applicability in any case becomes questionable. There are also frequent doubts regarding certain procedural issues.
Therefore, the aim of this paper is to strive to propose, through a theoretical analysis of the origin, purpose and justification of its application, certain solutions that would be useful to case law.
Possible deviations from the ruling case law are not made for the purpose of critical comment, but are the result of a different approach to certain contentious issues. This is why the paper itself follows a high degree of discussion, without the expectation that all of the conclusions in the paper will become or survive as valid and on which the practice of the courts should be based.
