THE LIABILITY OF A SUBSIDIARY FOR DAMAGE CAUSED BY THE PARENT COMPANY

ABSTRACT /

CJEU in Sumal judgment (C-882/19, para 51) adjudicated that in circumstances where the existence of an infringement of Article 101(1) TFEU has been established as regards the parent company, it is possible to invoke the civil liability of a subsidiary rather than of the parent company.

The author of the paper questioned Sumal judgment on the ground that single economic unity is not a single undertaking encompassing subsidiaries and their parent company, but condition for imputability of liability for EU Competition law infringement done by subsidiary to the parent company. It is also contended that subsidiary within a single economic unit does not consider as an undertaking and as such can not be liable for infringement of Competition Law.
