Corporate bond markets are increasingly at the centre of professional and scientific attention. Not only do they contribute to the overall functioning of the capital markets, but they also encourage investment in corporate bonds. This is especially important for companies, supplying them with additional sources of financing, while investors can achieve stable incomes in the long run. The growing global interest in corporate bonds, especially in Europe in recent decades and more recently in the Republic of Serbia, highlights the need for more detailed research. The recent publication of guidelines focusing on corporate bond issuers motivated this research.
At the end of last year, the Organisation for Economic Co-operation and Development published Draft Guidelines for Corporate Bond Issuers, further elaborating the G20/OECD Principles of Corporate Governance. In this paper, the author refers to the most important principles of corporate governance for corporate bond issuers and explains their significance. The Guidelines emphasised the importance of corporate governance in the corporate bond issuers to improve the position of bondholders and better protect their interests. It is emphasised that further adoption of good corporate governance in corporate bond issuers could encourage the development and improve stability in corporate bond markets. This should be one of the strategic goals for the Republic of Serbia’s capital market.
