THE FORMATION OF A COMPANY: THE LEGAL FRAMEWORK OF PRE-INCORPORATION ENTITIES AND PRE-REGISTRATION CONTRACTS

ABSTRACT /

This paper analyzes the essential characteristics of the concept of a pre-company, as well as the possibility of its implementation in Serbian law. The term refers to a legal construct that exists in German law (Vorgesellschaft) and denotes the existence of a certain legal entity prior to the formal establishment of a company by its registration. The first part of the paper is dedicated to explaining the concept of a pre-company, its legal nature, and its distinction from other legal institutions, all viewed through the lens of comparative law in order to identify the core features of the pre-company in both comparative and Serbian company law. The second part examines Serbian positive company law, specifically the (in)sufficient provisions of contract and commercial law that regulate legal transactions carried out in the name of a company prior to its formal incorporation. In the third (central) part of the paper, the authors analyze the potential consequences of introducing the pre-company concept into Serbian company law in the form of de lege ferenda proposals, considering that de lege lata solutions in this area are currently quite scarce.
